DayPass Terms of Use

Introduction
These Terms of Use ("Terms") govern your use of DayPass, LLC and its affiliate Interview Schedule, Inc. d/b/a Prelude ("DayPass", "we", "us", or "our") services, including our website, applications, and any related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
Acceptance of Terms
By accessing or using our Services, you confirm that you accept these Terms and agree to comply with them. If you do not agree to these Terms, you must not use our Services.
Eligibility
You must be at least 18 years old and able to form a binding contract to use the Services. If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
Description of Services
DayPass provides scheduling software that helps users find time with their friends, colleagues, and other contacts. Our Services include calendar integration, availability management, and meeting scheduling capabilities.
User Accounts and Registration
To access certain features of our Services, you may be required to create an account. You may register or sign in using credentials we provide or through third-party sign-in such as Google (OAuth). If you use Google, your use is also subject to Google's terms and policies, and you authorize us to access the Google permissions you grant as described in your consent screen and in our Privacy Policy.
You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and update your account information to keep it accurate, current, and complete
- Maintain the security of your account credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
Calendar Information and Data Collection
Our Services require access to your calendar information to provide scheduling functionality. How we use data from Google Calendar and your Google account—including OAuth scopes, storage, and subprocessors—is described in our Privacy Policy in the section on Google account data and Google Calendar. By using our Services, you authorize us to:
- Access and read your calendar data from connected calendar services (such as Google Calendar)
- Store and process your calendar information to provide scheduling services
- Use your calendar data to determine your availability and suggest meeting times
- Create and manage calendar events on your behalf when meetings are scheduled
- Share your availability information with other users as you configure
You retain ownership of your calendar data, and we will only access and use this information as necessary to provide our Services and as described in our Privacy Policy.
Acceptable Use
You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Services in any way that violates any applicable federal, state, local, or international law or regulation
- Transmit any material that is defamatory, offensive, or otherwise objectionable
- Attempt to gain unauthorized access to our Services or systems
- Interfere with or disrupt the Services or servers connected to the Services
- Use the Services to send spam or unsolicited communications
- Reverse engineer, decompile, or disassemble any portion of our Services
Privacy and Data Protection
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the collection and use of your information as described in our Privacy Policy. If these Terms and the Privacy Policy describe the same topic differently regarding Google account or Calendar data, the Privacy Policy controls for that topic.
Advertising and Marketing
We reserve the right to display advertisements and marketing content within our Services. Use of information obtained from Google sign-in or Google Calendar for advertising or sale is limited as stated in our Privacy Policy. Otherwise, marketing and ads may include:
- Displaying banner advertisements on our website and applications
- Showing promotional content related to our Services or third-party products
- Using targeted advertising based on your usage patterns and preferences
- Sending marketing communications via email or other channels (with your consent)
You may opt out of certain marketing communications as described in our Privacy Policy. However, we may still send you service-related communications that are necessary for the functioning of our Services.
Intellectual Property Rights
The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by DayPass, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
User Content
You retain ownership of any content you submit, post, or display on or through our Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such content in connection with providing our Services.
Service Availability
We strive to maintain the availability of our Services, but we do not guarantee that our Services will be available at all times. We may suspend or discontinue our Services at any time with or without notice. We are not liable for any damages resulting from the unavailability of our Services.
Third-Party Services
Our Services may integrate with third-party services, including calendar providers like Google Calendar. Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the content, privacy practices, or availability of any third-party services.
Limitation of Liability
To the maximum extent permitted by applicable law, DayPass shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our Services.
Disclaimer of Warranties
Our Services are provided "as is" and "as available" without any warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
Indemnification
You agree to defend, indemnify, and hold harmless DayPass and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms or your use of our Services.
Termination
We may terminate or suspend your account and access to our Services at any time, with or without cause, with or without notice, effective immediately. Upon termination, your right to use the Services will cease immediately.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
Dispute Resolution
Please contact us first at [email protected] so we can try to resolve your dispute informally. If we cannot resolve a dispute within 30 days, either party may pursue the dispute in binding individual arbitration administered by the American Arbitration Association under its applicable rules.
Arbitration will be conducted in San Francisco, California, unless the parties agree to a different location or remote arbitration. Each party retains the right to bring an individual action in small claims court for qualifying claims. You and DayPass agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
Changes to Terms
We may modify these Terms from time to time. If we make a material change, we will provide reasonable notice before the change becomes effective, such as by posting an updated version on this page and, where appropriate, by email or in-product notice. Non-material changes may become effective when posted. Your continued use of the Services after the effective date of the updated Terms constitutes acceptance of the updated Terms.
Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and DayPass regarding your use of our Services.
